Schedule A to the Customer Service Agreement
01Purpose and Incorporation
1.1 This Fee Schedule sets out the Service Fee, other fees, and commercial terms for Vaulnox service levels. It is incorporated by reference into the Customer Service Agreement (the “CSA”). Capitalized terms have the meanings given in the CSA.
1.2 We may update this Fee Schedule from time to time as permitted under the CSA. Changes apply prospectively as stated in the notice of update.
02Service Levels
2.1 We provide the Services at the following service levels. Levels differ in the scope of services we perform in respect of your Digital Assets, not in the purchase of software features.
2.2 Core. Self-custody wallet services under our 2-of-3 Asset Protection MPC model, including a master vault and Embedded Wallets, encrypted key-share backup, and send, receive, swap, buy, and sell functionality (subject to availability and third-party providers). No Service Fee. No Vaulnox per-transaction fee on Core. Network (gas) fees charged by the applicable blockchain remain your responsibility. Optional services listed in Section 3 are not provided at Core.
2.3 Premium. Everything in Core, plus SENTINEL-configured transaction limits and after-hours blocking, recipient and address controls, the Inheritance Protocol (one Heir), and guided SENTINEL setup assistance, each subject to the applicable Service Schedule and availability. Subject to a Service Fee as set out in Section 4.
2.4 Elite. Everything in Premium, plus Inheritance Protocol for up to five Heirs, Guardian™, Failsafe™, the Vaulnox Virtual Asset Protection Trust™ (VAPT), and VADR™, each subject to the applicable Service Schedule and availability. Subject to a Service Fee as set out in Section 4.
2.5 You may change or discontinue your service level through the wallet interface. Changes take effect at the end of the then-current Billing Cycle unless we state otherwise.
03Optional Services and Applicable Levels
The following optional services are described in Service Schedules to the CSA and are provided only at the levels indicated (subject to availability):
- Inheritance Protocol — Premium (1 Heir) and Elite (up to 5 Heirs).
- Guardian™ — Elite (you and one guardian Approver approve every transfer together).
- Failsafe™ — Elite (you and either of two Approvers approve every transfer).
- VADR™ — Elite (agent-directed trading by your AI agent, within a policy envelope you set and can narrow, freeze, or revoke at any time).
Engaging a Commercial Protector (as at the date of this Fee Schedule, Lighthouse Protector Services, LLC) is under a separate Protector Engagement Agreement and fees, not this Fee Schedule’s Service Fee.
04Service Fee (Paid Service Levels)
4.1 Basis. The Service Fee for Premium and Elite is calculated by reference to the average daily balance of Assets Under Self-Custody (AUSC) held in your wallets during the Billing Cycle, annualized, and invoiced monthly. Cliff pricing applies: the entire AUSC for the cycle is charged at the single rate for the cliff that contains that AUSC (not blended marginal brackets).
4.2 Premium rates (annualized on AUSC): 1.00% if AUSC is under USD 1,000,000; 0.75% if AUSC is USD 1,000,000 up to and including USD 5,000,000; 0.50% if AUSC is over USD 5,000,000.
4.3 Elite rates (annualized on AUSC): 2.00% if AUSC is under USD 1,000,000; 1.50% if AUSC is USD 1,000,000 up to and including USD 5,000,000; 1.00% if AUSC is over USD 5,000,000.
4.4 Monthly amount. For a Billing Cycle, the Service Fee equals (applicable annualized rate) × (AUSC for that cycle) × (number of days in the cycle ÷ 365), or such equivalent day-count convention as we disclose in the invoice methodology, rounded as stated on the invoice.
4.5 No separate per-service fee. The Service Fee for a paid service level covers the services performed at that level, including optional services available at that level. Third-party fees (Commercial Protectors, on-ramp/off-ramp/swap providers, network gas) are separate.
4.6 Currency and settlement. Denominated in United States Dollars; payable in USDC (or other eligible Digital Assets the SENTINEL policy engine is configured to apply) from your wallet.
4.7 Sweep timing. Unless the CSA states otherwise, the Service Fee for each Billing Cycle is swept on the seventh (7th) day following the end of that Billing Cycle (or the next business day), pursuant to your standing authorization under the CSA.
4.8 Non-refundability. Service Fees already due or collected are non-refundable except as required by law.
05Other Fees
5.1 Transaction Fee. Where a Transaction Fee applies under the CSA, it is charged in accordance with this Fee Schedule as then published. At Core, no Vaulnox per-transaction fee applies. At Premium and Elite, the public commercial model is an AUSC-based Service Fee in lieu of Vaulnox per-transaction fees; network gas still applies.
5.2 On-Ramp, Off-Ramp, and Swap. Third-party provider fees, spreads, and exchange rates apply directly. Any separate Vaulnox Transaction Fee for facilitating the transaction, if charged, is disclosed before you confirm and is in addition to third-party and network fees.
5.3 Late payment; insufficient balance. If eligible assets are insufficient on the scheduled deduction date, deduction may be deferred and re-attempted. Late payment fees and interest may apply as disclosed on the invoice or this Fee Schedule as updated. We may suspend Services provided at the paid service level until amounts due are paid in full.
5.4 No “Custody Fee” label. The recurring paid-level charge is the Service Fee only, calculated on AUSC. Vaulnox is not a custodian. Do not describe the Service Fee as a custody fee or as a fee on “assets under custody.”
