ABOUT THIS SCHEDULE. These Inheritance Protocol Service Terms (these “Service Terms”) are a service schedule to, and form part of, the Vaulnox Customer Service Agreement (the “CSA”) between you and Vaulnox International, LLC (together with its affiliates, including Vaulnox USA, LLC, “Vaulnox,” “we,” or “us”). They apply only if and when you engage us to provide the Inheritance Protocol service, and only for so long as we continue to provide that service to you. Capitalized terms used but not defined here have the meanings given in the CSA. Except as expressly modified by these Service Terms for the Inheritance Protocol service, all terms of the CSA — including its provisions on the non-custodial, ministerial nature of our role, governing law (Republic of the Marshall Islands), arbitration (HKIAC, seat Hong Kong), disclaimers, limitation of liability, and indemnification — apply to these Service Terms and are incorporated by reference. In the event of a conflict between the CSA and these Service Terms with respect to the Inheritance Protocol service, these Service Terms control.
01The Inheritance Service
1.1 What it is. The Inheritance Protocol (the “Inheritance Service”) is an optional SENTINEL configuration, provided at our Premium and Elite service levels, through which you may designate one or more persons (each an “Heir”) — in an order of priority you set — to succeed to control of your Vault and its associated Embedded Wallets upon the occurrence of a Medical Event that is triggered and verified as described below. Your service level determines the maximum number of Heirs you may designate (one at Premium; up to five at Elite, unless the Fee Schedule states otherwise).
1.2 How it operates. When you direct us to provide the Inheritance Service, encrypted delegation credentials are generated from your device and sealed within the SENTINEL secure enclave under post-quantum cryptography. Upon a verified Medical Event, SENTINEL may cancel your Client Key Share and enable the applicable Heir, in order of priority, to obtain a replacement Client Key Share, thereby giving that Heir control of your Vault and associated Embedded Wallets. Vaulnox never has access to your private keys and does not hold the delegation credentials in usable form.
1.3 You configure it. You alone select your Heirs, their priority, the triggering conditions, and any threshold or evidentiary requirements, through the wallet interface. Any resulting action is executed automatically by SENTINEL pursuant to the parameters you set, and not as a result of any independent decision, judgment, or authority of Vaulnox.
02Not a Will, Trust, or Estate Plan; No Advice
2.1 Technical succession only. The Inheritance Service operates solely at the level of cryptographic control of your Vault and Embedded Wallets. It is not intended to constitute, and is not designed to serve as, a will, codicil, testamentary instrument, trust, beneficiary designation under law, or other estate-planning instrument, and it does not revoke, replace, satisfy, or override your will, any trust, or the operation of applicable succession, matrimonial, forced-heirship, creditor, or tax law.
2.2 Control is not an adjudication of title. Enabling an Heir to obtain a replacement Client Key Share gives that Heir practical control of the Vault and Embedded Wallets. Vaulnox makes no representation or warranty as to that Heir’s legal ownership of, or title to, the Digital Assets as against your estate, personal representatives, heirs-at-law, beneficiaries, creditors, spouse, forced-heirship claimants, tax authorities, or any other person. The passing of control does not determine legal ownership and does not override the rights of any such person under applicable law.
2.3 No advice; coordinate with your advisers. Vaulnox is not a law firm, trustee, executor, personal representative, or estate administrator, and provides no legal, tax, or estate-planning advice. You are solely responsible for obtaining your own professional advice and for coordinating the Inheritance Service with your overall estate plan.
03Designation, Sealing, and Revocation
3.1 During your life. You may revoke the Inheritance Service, and the associated delegation credentials, at any time during your life through the wallet interface, subject to our security verification. Until a Medical Event is triggered and verified, each Heir holds only a revocable expectancy and no vested, equitable, or other enforceable interest in your Vault or Digital Assets.
3.2 Sealed configurations are immutable in place. Once an Inheritance configuration is sealed, its Heirs, triggers, and thresholds cannot be edited in place. To change them, you must revoke the existing configuration and create a new one. You are responsible for keeping your configuration current, including upon changes to your family, wishes, or the availability or capacity of an Heir.
04Medical Event; Triggering and Verification
4.1 Trigger. A designated Heir or other Authorized Person may notify us of a Medical Event in the secure manner we make available. We may require one or more of them to provide verifiable evidence of the Medical Event before the Inheritance Service is actioned.
4.2 Our role is ministerial. Our review is strictly limited to obtaining reasonable confirmation of the Medical Event based on the evidence and processes you and your Authorized Persons designate. We do not independently investigate, and we make reasonable efforts to confirm events accurately but cannot guarantee that a trigger is accurate, timely, or free from fraud or error. We may rely in good faith on any notice or evidence we reasonably believe to be genuine.
4.3 Priority and completion. Where you have designated multiple Heirs, the Inheritance Service operates in the order of priority you set, subject to the availability and cooperation of each Heir. A transfer of control, once completed, is irreversible by Vaulnox.
05Heirs; No Fiduciary Duty; No Third-Party Claim
5.1 Heir acknowledgment. An Heir must accept the role and any applicable acknowledgment we present, and may be required to accept and safeguard a portable post-quantum identity key. An Heir who obtains a replacement Client Key Share assumes sole responsibility for the security and use of the Vault, the Embedded Wallets, and the associated keys from that point forward.
5.2 No fiduciary duty. Vaulnox acts solely in a non-custodial, ministerial capacity and owes no fiduciary or other duty to you, to any Heir, or to any Authorized Person in connection with the Inheritance Service. Vaulnox is not the agent, trustee, executor, or personal representative of you, your estate, or any Heir.
5.3 No third-party beneficiaries. No Heir, Authorized Person, or other person is a third-party beneficiary of these Service Terms, and no such person shall have any claim, right, or cause of action against Vaulnox arising out of or relating to the Inheritance Service, except as expressly and separately agreed in writing by Vaulnox.
06Assumption of Risk
You acknowledge and accept the risks specific to the Inheritance Service, including: that a Medical Event may be triggered erroneously, fraudulently, prematurely, or not at all; that an Heir may predecease you, become unavailable, lose their credentials, or decline the role; that disputes may arise among Heirs, your estate, or third parties; that the passing of control may have legal and tax consequences for you, your estate, or an Heir; and that a completed transfer of control cannot be reversed by Vaulnox. These risks are in addition to the risks described in the CSA.
07Fees; Term; Discontinuation
7.1 Fees. The Inheritance Service is provided at our paid service levels as set out in the Fee Schedule (Premium: one Heir; Elite: up to five Heirs). The recurring Service Fee for the applicable service level is payable under the CSA and the Fee Schedule. No separate per-service fee is charged.
7.2 Effect of discontinuation or change of level. If we cease providing Services to you at a service level that includes the Inheritance Service, or if you change to a service level at which the Inheritance Service is not provided, the Inheritance Service (or a portion of it, such as capacity above a lower level’s limit) may be suspended or discontinued. You are responsible for maintaining an appropriate service level if you wish the Inheritance Service to remain in effect.
08General
8.1 These Service Terms supplement and are governed by the CSA, including its provisions on governing law (Republic of the Marshall Islands), arbitration (HKIAC, seat Hong Kong, individual basis only), disclaimers of warranties, limitation of liability, indemnification, and force majeure, all of which apply to the Inheritance Service and are incorporated by reference.
8.2 By directing us to provide the Inheritance Service, you acknowledge that you have read and understood these Service Terms, that the Inheritance Service is a technical key-succession configuration and not a will, trust, or estate plan, and that you agree to be bound by these Service Terms and the CSA.
